Terms of Service

The deal between us.

The short version
  • Use AutoSync responsibly and pay your bill — that's the deal.
  • You own your shop's data; we just store and serve it.
  • Cancel anytime. We'll keep your data for 30 days in case you change your mind.
  • We can't promise zero downtime, but we work hard to stay close to it (target 99.9%).
  • If something goes wrong, our liability is capped at what you paid us in the last 12 months.

1. Acceptance of These Terms

By signing up for or using AutoSync Shop Manager (the "Service"), you ("Customer", "you") agree to these Terms of Service ("Terms"). If you're using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.

If you don't agree to these Terms, don't use the Service.

2. The Service

AutoSync Shop Manager is a cloud-based shop management platform for automotive repair businesses. The Service includes (depending on your plan): work order management, customer and vehicle records, payment processing, digital vehicle inspections, inventory, accounting integrations, texting, and reporting.

We may add, change, or remove features over time. Material reductions in functionality on a paid plan will be announced at least 30 days in advance.

3. Your Account

Eligibility

You must be at least 18 years old and capable of entering into a binding contract.

Registration

You agree to provide accurate, current, and complete information when creating an account, and to keep it updated. You're responsible for keeping your password secure and for everything that happens under your account.

Authorized Users

You can grant access to your team. You're responsible for what they do on the Service.

4. Subscription, Billing, and Payment

Plans

The Service is offered as a monthly or annual subscription. Current pricing is at autosyncshopmanager.com/?page=pricing. Pricing for your plan is locked in for the duration of your current billing cycle.

Billing

Subscriptions auto-renew at the end of each billing period unless cancelled. Charges occur on the same calendar day each cycle. Failed payments may result in temporary account suspension.

Payment Processing

Card payments are processed by our payment partners (Stripe and/or Square). Your card details never touch our servers.

Refunds

Monthly plans are non-refundable for the current period. Annual plans are pro-rated for refunds in the first 30 days only. After that, no refunds — but you can cancel anytime to stop future charges.

Taxes

Prices are exclusive of taxes. You're responsible for any sales, use, VAT, or similar taxes that apply.

5. Your Data

Ownership

You own your data. Customer records, work orders, invoices, vehicle history — all of it stays yours. We just store and serve it on your behalf.

Our License to Your Data

You grant us a limited license to use your data only as necessary to provide the Service (storing, displaying, transmitting, processing payments, generating reports, etc.). We don't use your data for any other purpose. We never sell your data.

Backups

We keep encrypted backups of your data for disaster recovery. You can also export your data anytime through your dashboard.

After Cancellation

If you cancel, we keep your data for 30 days in case you change your mind. After 30 days, we permanently delete it (except where law requires retention).

6. Acceptable Use

You agree NOT to:

  • Use the Service for anything illegal, fraudulent, or that violates someone else's rights
  • Attempt to access another customer's account or data
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell, sublicense, or rent access to the Service without our written permission
  • Use the Service to send spam, malware, or other harmful content
  • Interfere with or disrupt the Service's integrity or performance (e.g. DDoS, scraping at high rates, etc.)
  • Misrepresent your identity or affiliation

Violations may result in immediate suspension or termination, with no refund.

7. Intellectual Property

Our IP

AutoSync Shop Manager — the software, design, branding, documentation, and everything else we create — is owned by us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service while your subscription is active. Nothing more.

Your IP

Your shop logo, customer data, and content remain yours. By uploading them, you grant us only what we need to display them within your account.

Feedback

If you send us suggestions or feedback about the Service, we can use it however we want without owing you anything.

8. Service Availability

We aim for 99.9% uptime, measured monthly. Service availability does NOT include:

  • Scheduled maintenance (announced at least 24 hours in advance, usually overnight)
  • Force majeure events (natural disasters, war, pandemics, internet backbone failures)
  • Issues caused by your equipment, network, or third-party services

If we miss our uptime target in a given month, contact support and we'll work out a service credit.

9. Third-Party Services

The Service integrates with third-party services like Stripe, Square, QuickBooks, Twilio, and others. Your use of those services is governed by their own terms, not ours. We're not responsible for problems with third-party services, but we'll do our best to help you resolve them.

10. Termination

By You

You can cancel anytime through your dashboard or by emailing support. Cancellation stops future charges; you keep access until the end of your current billing period.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay, or use the Service in ways that harm other customers. We'll usually give notice and a chance to cure first, except for serious violations.

Effect of Termination

Upon termination, your access ends, but your data is retained for 30 days as described in Section 5.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We don't warrant that the Service will be uninterrupted, error-free, or completely secure. Use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION — EVEN IF WE WERE TOLD THE DAMAGES WERE POSSIBLE.

Some jurisdictions don't allow the exclusion of certain warranties or liabilities, so portions of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless AutoSync Shop Manager and its team from any claims, damages, losses, or expenses (including legal fees) arising out of: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) your shop's data or how you use it.

14. Changes to These Terms

We may update these Terms occasionally. If we make material changes, we'll notify you by email or through the Service at least 30 days before they take effect. Continuing to use the Service after the changes take effect means you accept the new Terms.

Non-material changes (typo fixes, clarifications) take effect immediately when posted.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict of laws principles.

Disputes

Most disputes can be resolved by emailing legal@autosyncshopmanager.com. We'll do our best to work things out informally first.

Arbitration

If informal resolution fails, any disputes will be resolved by binding arbitration in Stark County, Ohio, under the rules of the American Arbitration Association. Both parties waive the right to a jury trial and to participate in class actions.

Exception

Either party can still seek injunctive or equitable relief in court for IP infringement or breach of confidentiality.

16. General

Entire Agreement

These Terms (together with the Privacy Policy) are the entire agreement between you and AutoSync Shop Manager about the Service. They supersede any prior agreements.

Severability

If any provision is found unenforceable, the rest of the Terms still apply.

No Waiver

Our failure to enforce any provision doesn't waive our right to do so later.

Assignment

You can't assign these Terms without our written consent. We can assign them as part of a merger, acquisition, or sale of assets.
